Form 535 - STATEMENT OF PARTNERSHIP AUTHORITY. This form issued by the Ohio Secretary of State, is used by general partnerships to formally document which partners have the authority to act on behalf of the partnership, particularly in business transactions and real estate matters. Filing this form is done in accordance with Ohio Revised Code §1776.33 and helps clarify partner authority to third parties. The form requires the name of the partnership, the address of its chief executive office (and any Ohio office, if applicable), and either the names and addresses of all partners or the name and address of an appointed information agent. It also includes the mandatory appointment and acceptance of a statutory agent, who must be an Ohio resident or a business with a physical Ohio address, for receiving legal documents on behalf of the partnership. The form contains optional sections where partnerships can specify which partners are authorized to execute documents transferring real property and those authorized to conduct other transactions, along with any limitations on these powers. Partnerships may also include any other authority-related provisions they wish to record. Once submitted, this filing is valid for five years unless amended or canceled. The form must be typed, signed by an authorized representative, and submitted with a $99 filing fee.
