Description

Form 530A - FOREIGN FOR-PROFIT CORPORATION APPLICATION FOR LICENSE. This form is used to register a corporation that was formed outside the state of Ohio (whether in another U.S. state or in a foreign country) so that it can legally conduct business within Ohio. This application allows the corporation to apply for either a permanent license or a temporary license, which is valid for six months. Pursuant to Ohio Revised Code §1703.13, no foreign corporation shall be granted more than two temporary licenses within any period of three years. A permanent license will allow a corporation to transact business in Ohio until the license is cancelled or surrendered. Pursuant to Ohio Revised Code §1703.04(A), to obtain a license to transact business in Ohio, a foreign for-profit corporation must file a certificate of good standing or subsistence, dated not earlier than ninety days prior to the filing of the application under the seal of the secretary of state, or other proper official, of the state under the laws of which the corporation was incorporated (jurisdiction of formation). The certificate must state the exact corporate name and the fact that the corporation is in good standing or is a subsisting corporation. The form also requires information about the corporation’s name, jurisdiction and date of incorporation, principal office address, and a brief description of the business activities it intends to carry out in Ohio. The corporation must appoint a statutory agent located in Ohio to accept legal service of process. If the corporation is applying for this license in order to initiate or defend a legal action in Ohio, an additional $250 fee is required. If the corporation began conducting business in Ohio before 2009 without a license, a Certificate of Tax Clearance from the Ohio Department of Taxation must also be submitted.
