Limited Liability Partnership Registration (Foreign LLP)

LIMITED LIABILITY PARTNERSHIP REGISTRATION. This form is used by non-Maryland LLPs to register with the Maryland State Department of Assessments and Taxation (SDAT) to legally conduct business in Maryland. The form requires the LLP’s legal name in its home jurisdiction and, if different, the name it will use in Maryland, which must include “Limited Liability Partnership” or “LLP.” It also asks for the state and date of formation, the business address in its home state, and a description of business activities to be conducted in Maryland. Additionally, the LLP must designate a resident agent with a physical Maryland address to accept legal documents on behalf of the business. If no resident agent is listed or cannot be served, SDAT will act as the resident agent. The form also asks whether the LLP has conducted business in Maryland before registration; if so, a $200 penalty must be paid. An authorized person must sign the form, and the resident agent must consent to their designation.
