REGISTERING OR QUALIFYING TO DO BUSINESS IN MARYLAND UNDER AN ASSUMED NAME. This form is used by foreign corporations that are unable to register or qualify to do business in Maryland under their legal corporate name. This typically occurs when the corporation's name is not distinguishable from an existing entity already registered with the Maryland State Department of Assessments and Taxation (SDAT). By completing this form, the corporation certifies that it cannot register under its original name and agrees to conduct business in Maryland only under an assumed name. The assumed name must include an indicator of corporate status, such as "Corporation," "Incorporated," or "Limited," and must comply with Maryland’s naming restrictions, ensuring that it does not imply unauthorized business activities or conflict with existing entity names. The corporation must use the assumed name in all dealings with the Department and in the conduct of its business affairs within the state. A corporate officer must sign the form, confirming the agreement to transact business under the assumed name. All registered foreign corporations in Maryland must submit an annual Personal Property Return to maintain good standing.
