510a - RESTATED ARTICLES OF INCORPORATION FOR USE BY DOMESTIC PROFIT CORPORATIONS. This is a Michigan Department of Licensing and Regulatory Affairs (LARA) form used when a profit corporation wishes to restate and update its Articles of Incorporation in order to convert into a nonprofit corporation. By filing this document, a corporation can consolidate its existing articles and amendments into a single updated governing document that reflects its new nonprofit structure. The form requires information such as the corporation’s current and former names, identification number, original incorporation date, purposes, whether it will operate on a stock or nonstock basis, how it will be financed, and whether it will function as a membership or directorship organization. It also records the name of the registered agent and the address of the registered office. The restated articles must be adopted in accordance with Michigan law, either by unanimous consent of incorporators before the first board meeting or by shareholder approval afterward.
