ARTICLES OF TRANSFER (CORPORATION). This form is used in the State of Utah by a domestic corporation—whether profit, non-profit, professional, or benefit—to formally transfer or domesticate its corporate status to another state. Filed with the Utah Department of Commerce, Division of Corporations & Commercial Code, this form is required under Utah Code Section 16-10a-1533.5 when a corporation chooses to cease being governed by Utah law and become governed by the laws of another jurisdiction. The form collects essential information such as the corporation's name, the original filing date of its Utah Articles of Incorporation, the name of the new jurisdiction, and an optional future effective date for the transfer. The filer must confirm that the transfer has been approved by the corporation's shareholders and acknowledge that the corporation's existence in Utah will end once the transfer becomes effective. The corporation must also agree to accept service of process in Utah for any legal obligations that arose while it operated under Utah law.
