ANNUAL RENEWAL DOMESTIC CORPORATION. This form is required for all corporations incorporated under Minnesota Statutes, Chapter 302A to maintain their active status. This renewal must be filed by December 31 each year, and failure to do so will result in the automatic dissolution of the corporation without further notice. The form collects essential corporate information, including the corporate file number, registered office address, principal executive office address, and the name and address of the Chief Executive Officer. Corporations must indicate whether they own, lease, or have a financial interest in agricultural land, as they may need to register with the Minnesota Department of Agriculture’s Corporate Farm Program. There is no fee for filing the renewal if the corporation is active and in good standing. However, if the corporation has been dissolved due to failure to file, it may reinstate its existence by submitting the renewal along with a $25 reinstatement fee if mailed or $45 for expedited service in-person or online. The renewal also includes a Minnesota Business Snapshot survey, which is voluntary and aims to collect data about the company’s size, ownership demographics, industry classification, and revenue. This information helps the Secretary of State’s Office generate economic reports and assist potential customers or researchers. The Corporate Transparency Act (CTA), effective January 1, 2024, may also require businesses to report beneficial ownership information to the Financial Crimes Enforcement Network (FinCEN).
