ARTICLES OF DISSOLUTION. This form, filed under Minnesota Statutes, Section 302A.711, is used to dissolve a Minnesota corporation that has not issued shares. This form is for corporations that were incorporated but never distributed stock to shareholders. To complete the dissolution, the corporation must certify that no shares were issued, all funds received from subscribers (less organizational expenses) have been returned, and no debts remain unpaid.
