Description

510c - RESTATED ARTICLES OF INCORPORATION FOR USE BY DOMESTIC NONPROFIT CORPORATIONS. This is a Michigan Department of Licensing and Regulatory Affairs (LARA) form used when a nonprofit corporation wishes to restate and update its articles of incorporation. Specifically, this form allows a nonprofit corporation organized under the 1982 Nonprofit Corporation Act to change its legal status and become a profit corporation governed by the 1972 Business Corporation Act. By filing this document, the corporation provides updated information such as its current and former names, identification number, date of original incorporation, corporate purposes, share structure, registered office, and resident agent. The form also provides space for optional provisions, such as rules for reorganizations, compromises, or shareholder actions without formal meetings. Adoption of the restated articles must be properly approved by incorporators, directors, members, or shareholders, depending on the structure of the corporation. Importantly, because the filing involves a change from nonprofit to for-profit status, consent or acknowledgment from the Michigan Attorney General is required. www.FormsWorkflow.com
