APPLICATION FOR AUTHORITY TO CONDUCT AFFAIRS FOR A FOREIGN CORPORATION. This form is used by out-of-state or foreign corporations (profit or nonprofit) seeking to legally conduct business within the State of Utah. The form requires the corporation to submit a certificate of good standing or existence from its home state, dated within 90 days prior to filing. It collects information such as the corporation's exact name, state of incorporation, date of incorporation, duration, principal office address, Utah registered agent and address, and, if necessary, an alternate name for use in Utah. It also requests the anticipated start date of business in Utah, names and addresses of the corporation’s officers and directors, and a description of the business activities to be conducted in the state. The form must be signed by an authorized person under penalty of perjury and includes optional questions regarding business ownership for statistical or classification purposes.
