INTENT TO DISSOLVE. This form is used to formally notify the Minnesota Secretary of State that a corporation has begun the process of dissolution. This filing, required under Minnesota Statutes, Chapter 302A.721, does not immediately dissolve the corporation but serves as an official declaration that the company is in the process of winding down its operations. To complete the dissolution, the corporation must later file Articles of Dissolution under Minnesota Statutes, Sections 302A.7291 or 302A.727. The form requires the corporation’s file number and official name as recorded with the Secretary of State. The corporation must also confirm that the requisite vote of shareholders was conducted, either through a shareholders' meeting or unanimous written action, and must provide the date and location of the meeting or the date the written action was authorized. An authorized representative or agent must sign the form, certifying the accuracy of the information under penalty of perjury. The corporation may provide an email address for official notices and list a contact person and phone number for further inquiries. The filing fee is $55 for expedited service (in-person or online) and $35 if submitted by mail.
