Description
FORM 21B - ADOPTION OF FICTITIOUS NAME. If the corporate name of a foreign corporation is not available for use in Wisconsin due to conditions described in section 180.1506 or 181.1506, Wis. Stats., the foreign corporation may obtain or maintain a certificate of authority to transact business in Wisconsin under a fictitious name. Before doing so, the corporation’s board must enter a resolution adopting the fictitious name for use in this state. A copy of the resolution must be certified by an officer of the corporation and filed as a supporting document to the corporation’s application for an original or amended certificate of authority (Form 21, 21A, 121, or 121A, as applicable.)
