SOS-FORM-0097 - LIMITED LIABILITY COMPANY ANNUAL CERTIFICATE. This form is used by domestic and foreign limited liability companies (LLCs), including registered series, to comply with Oklahoma state law by filing their required annual report with the Secretary of State. In accordance with Title 18, Section 2055.2 of the Oklahoma statutes, every active LLC must submit this certificate each year on the anniversary date of its original registration. The form verifies that the business is still active, confirms or updates the company’s principal place of business and contact email address, and includes a $25.00 filing fee. Failure to file the certificate within 60 days of the due date results in the LLC falling out of good standing with the state.
