LAO - ARTICLES OF ORGANIZATION DOMESTIC (KANSAS) LIMITED LIABILITY COMPANY THAT MAY CREATE SERIES. This form is used to register a Kansas-based LLC that has the authority to establish one or more distinct series under its structure. Filing this form with the Kansas Secretary of State allows a business to create segregated divisions—known as "series"—within the LLC, each with separate rights, duties, assets, and liabilities, as permitted under Kansas law. To complete the form, the business must provide its legal name (including an accepted LLC designation), designate a resident agent and registered office in Kansas, and confirm in the operating agreement that the LLC may form series. If a certificate of designation is filed for each series, then the liabilities of one series are not enforceable against the assets of other series or the LLC itself, unless otherwise agreed in the operating agreement.
