AMENDMENT TO ARTICLES. This form is used to amend the articles of incorporation or modify the statutory requirements governing a cooperative registered in Minnesota under Minnesota Statutes, Chapter 308A or 308B. This form allows cooperatives to formally document changes, such as updates to their business name, governance structure, or operational rules. The amendment must be approved by a majority vote of members at a properly noticed meeting after board approval. The completed form must include the cooperative's name, the full text of the amendments, and an authorized signature certifying the accuracy of the information. Filing fees vary depending on the method of submission: $55 for expedited online or in-person filings and $35 for mail submissions.
