FORM 154 - APPLICATION FOR CERTIFICATE OF WITHDRAWAL FOREIGN BUSINESS CORPORATION. This form is used by a foreign business corporation that has ceased transacting business in Rhode Island and seeks to formally withdraw its authority to operate under R.I. Gen. Laws §§ 7-1.2-1412 and 7-1.2-1413. Before filing, the corporation must ensure that it has filed its final tax return and is in good standing with the Rhode Island Division of Taxation. Verification of tax status can be obtained by contacting tax.collections@tax.ri.gov or calling (401) 574-8941. The corporation must provide its entity ID number, legal name, and state of incorporation, and confirm that it is no longer transacting business in Rhode Island and is surrendering its authority to do so. The application also revokes the authority of the registered agent and designates the Rhode Island Department of State to receive future service of process for any actions arising while the corporation was authorized to conduct business in the state. The form requires the applicant to specify a mailing address for forwarding copies of any such process. The corporation must certify that all taxes and fees have been paid, and if it is in receivership or trusteeship, the filing must be executed by the receiver or trustee. The filing fee is $50, payable to the Rhode Island Department of State, and may be submitted by mail, in person, or via credit card at the Business Services Division, 148 W. River Street, Providence, RI 02904-2615. The effective date may be the date of receipt or a later date up to 90 days from filing.
