ATTACHMENT C-2 STANDARD LAW CORPORATION GUARANTEE FOR LAW CORPORATIONS PRACTICING IN PARTNERSHIP WITH OTHER LAW CORPORATIONS. This form is required by the State Bar of California for shareholders of law corporations that operate in partnership with other law corporations. This form serves as a formal guarantee in which each shareholder agrees to be personally liable—on a joint and several basis, if applicable—for any claims made by clients against their respective corporation for legal errors or omissions. The guarantee includes limits on the maximum amount payable per claim and per calendar year and is reduced by any payments made under the corporation’s professional liability insurance. Only one original of the form needs to be filed, while photocopies may be submitted for other corporations within the partnership.
