STATEMENT OF DISSOLUTION. This form is used to officially document that an LLC has been dissolved under Minnesota Statutes, Section 322C.0701 and is in the process of winding up its business affairs. However, this form does not itself dissolve an LLC. Instead, it is used after dissolution has already occurred due to specific legal events outlined in the statute, such as a vote by members, expiration of a predetermined duration, or a court order. To complete this form, the LLC’s file number and official name must be provided. It must also be signed by an authorized person or agent, certifying that the information is true and accurate under penalty of perjury. If the LLC had previously registered with the Minnesota Secretary of State, filing a separate Statement of Termination under Section 322C.0702 is necessary to fully cancel the registration and move the record to inactive status.
