MINNESOTA LIMITED LIABILITY PARTNERSHIP STATEMENT OF QUALIFICATION. This form is used to officially register a partnership as a Limited Liability Partnership (LLP) under Minnesota Statutes, Chapter 323A. By filing this form, a partnership elects to operate as an LLP, which provides liability protection to its partners. For professional partnerships governed under Chapter 319B, additional documentation is required, including a statement acknowledging compliance with Minnesota statutes and specifying the professional service offered. The filing must include the legal name of the partnership, its chief executive office address, and, if applicable, a Minnesota office address or a registered agent for service of process. At least two partners or an authorized agent must sign the document under penalty of perjury. The form also requires an email address for official notices and a contact person for inquiries. Additionally, businesses that own or lease agricultural land must register with the Minnesota Department of Agriculture’s Corporate Farm Program. A voluntary Minnesota Business Snapshot survey is included to collect demographic and industry data. Filing fees are $155 for expedited service (in-person and online) or $135 for mail submissions, payable to the Minnesota Secretary of State. This document is public record and may be viewed online. The Corporate Transparency Act (CTA) also requires many businesses to report beneficial ownership information to FinCEN.
