FORM 2 - ARTICLES OF INCORPORATION BUSINESS CORPORATION. This form is used to establish a domestic business corporation in the State of Wisconsin under Chapter 180 of the Wisconsin Statutes. This form is filed with the Wisconsin Department of Financial Institutions and requires basic corporate information, including the proposed name of the corporation, the number and types of shares authorized to be issued, the name and physical address of the registered agent and office located in Wisconsin, and the names and addresses of all incorporators. If the corporation will issue multiple classes or series of shares, additional details must be attached explaining the rights and preferences of each. The form also allows for optional provisions concerning governance, share structure, initial directors, and corporate purpose to be included under additional articles. The incorporator must sign the form, and if the filing is taking place within Wisconsin, the name of the drafter is required. An optional delayed effective date—up to 90 days after receipt—can be declared. A $100.00 filing fee applies, with expedited service available for an additional $25.00. Once incorporated, the business entity must file an annual report starting the year after formation, with the due date determined by the calendar quarter in which the corporation was formed.
