FORM 121 - APPLICATION FOR CERTIFICATE OF AUTHORITY FOREIGN NONSTOCK CORPORATION. This form is used by a foreign nonstock corporation—that is, a nonprofit or other nonstock entity formed under the laws of another U.S. state or a foreign country—to register and lawfully conduct business in the State of Wisconsin pursuant to Section 181.1503 of the Wisconsin Statutes. This form requires the foreign corporation to provide details such as its legal name, jurisdiction of incorporation, date of formation, registered agent and office in Wisconsin, and its principal office address (which may be outside the state). If the corporation’s name is not distinguishable from an existing name on file in Wisconsin, it must adopt a fictitious name and submit Form 21B along with this application. The corporation must also indicate whether it has perpetual existence or a set duration, and disclose whether it has transacted business in Wisconsin prior to registration. If it has done so, a Supplement must be completed to calculate any additional fees and penalties. The form further requires a list of principal officers and directors, whether the corporation has members, and a signature from an authorized person. A current Certificate of Status (issued within 60 days) from the home jurisdiction is also required. The standard filing fee is $100, with an optional $25 expedited service, and the corporation will be subject to annual reporting requirements, with reports due by March 31 each year following registration.
