731 - CERTIFICATE OF DISSOLUTION. This form is used in Michigan to terminate the existence of a domestic limited liability company (LLC). This document is filed with the Department of Licensing and Regulatory Affairs when an LLC has decided to dissolve, either because an event specified in its Articles of Organization or operating agreement has occurred, or by unanimous vote of the members. The form requires basic information such as the LLC’s name, identification number, and the reason for dissolution, and it may also specify a later effective date if desired. Once filed, the certificate ensures that the LLC is formally dissolved in state records and no longer recognized as an active legal entity. In addition, the company must request tax clearance from the Michigan Department of Treasury within 60 days of filing.
