Description
ANNUAL RENEWAL. This form is used by cooperatives registered in Minnesota under Minnesota Statutes, Section 5.34 to maintain their active status with the Minnesota Secretary of State. This form must be filed annually by December 31 to prevent automatic dissolution of the cooperative. It requires the cooperative's file number, business name, registered office address, principal place of business, and the name and address of the Chief Executive Officer (CEO). Cooperatives must indicate whether they own, lease, or have a financial interest in agricultural land, as this requires separate registration with the Minnesota Department of Agriculture’s Corporate Farm Program. The form also provides an optional Minnesota Business Snapshot survey, which collects voluntary data on employment size, ownership demographics, industry classification, business activity level, and revenue. There is no filing fee for cooperatives in good standing, but if the entity has been administratively dissolved, it can be reinstated by filing the renewal along with a $25 fee for mail submissions or $45 for expedited in-person or online filings.
