Resignation may be accomplished by filing a resignation statement with the Secretary of State. The resigning agent must notify the organization of their resignation and the date on which it was filed with the Secretary of State. The resignation becomes effective on the thirty-first day after the resignation is filed with the Secretary of State. When a statement of resignation takes effect, the registered agent ceases to have responsibility for any matter tendered to it as agent for the represented entity. A resignation does not affect any contractual rights the entity may have against the registered agent or that the registered agent may have against the entity.
