On November 6, 2006, a Preliminary Renewal Statement will be available to you in the Accounting Section on IARD via a link titled Renewal Statement. The Renewal Statement will show all states that require you to make a renewal filing. In order to renew the firm's license, you must deposit the total amount indicated on your Preliminary Renewal Statement into your IARD RENEWAL account. DO NOT SEND YOUR DEPOSIT TO THE DEPARTMENT OF FINANCIAL INSTITUTIONS DIVISION OF SECURITIES. This deposit should be sent to: NASD INC., PO Box 7777-W8705, Philadelphia, PA 19175-8705 by December 20, 2006. IA REPRESENTATIVE RENEWALS: All investment adviser representative renewals will be included on your Preliminary Renewal Statement and included in your total due. DO NOT SEND FUNDS TO THE DIVISION FOR YOUR INVESTMENT ADVISER REPRESENTATIVES. Only representatives currently licensed and seeking renewal will be listed on your Preliminary Renewal Statement. Form U-4's for new representative applicants must be filed via CRD by 6:00 p.m ET, December 20, 2006. Renewal fees for new investment adviser representatives licensed between November 6 and December 20 will be included on the Final Renewal Statement available in your reports on January 2, 2007. If the applicant's status has changed from a state licensed adviser to a federal covered adviser since the last renewal period and you have not notified the Division of Securities of this change, please contact the Division for requirements of this change. BRANCH OFFICE RENEWALS: NEW THIS YEAR--Beginning this year, all investment adviser branch office renewals will be filed via CRD. As you were advised last year, if you have any branch offices in addition to your main business office where advisory business is conducted, you should have made an electronic filing via CRD on Form BR. You can run a list of your branches from your Reports queue. The Preliminary Renewal Summary will include the fee for renewal of any branch offices you have on CRD, so it is imperative that you file any branches that have not already been set up on CRD. If you have not made your branch office filings on CRD yet, you will find enclosed a list of the branch offices we show open for the firm and instructions on entering the data on Form BR. PLEASE NOTE: Account Administrators at firms must separately entitle each firm user responsible for completing and submitting Form BR filings. Entitlement to the Form ADV privilege does not automatically entitle a user to the Form BR privilege. Branch office fees will be included in the total renewal fees due from CRD. DO NOT SEND ANY BRANCH OFFICE RENEWAL INFORMATION OR FEES DIRECTLY TO THE DIVISION. Any filing to open or close a branch not made by December 20th (when the CRD shuts down for year-end renewal updating) will be delayed until January 2, 2007 when the CRD is again available for data entry. Code closings must still be filed within 14 days of the effective date of the event. Branches opened or closed prior to December 20th but not updated on CRD within the 14 day time limit may be considered a late filing and subject to a late filing fee of $100 per branch. Copies of this form are available at: http://www.wdfi.org/fi/securities/securapps.htm#Licensing FILING AND PAYMENT: The expiration date of an investment adviser or investment adviser representative license or a branch office filing under the Wisconsin Uniform Securities Law is December 31st. All payments are included with the firm's IARD payment and forwarded per instructions received from IARD. The last date for payment to be received by IARD for 2007 renewals is December 20th. DO NOT SEND ANY PAYMENTS DIRECTLY TO THE DIVISION. If the firm does not wish to renew its registration in Wisconsin, please submit Form ADV-W via the IARD for the firm and Form U5 for each investment adviser representative via CRD no later than December 20, 2006. Post-dated withdrawals will be accepted by the IARD for firms and by CRD for investment adviser representatives beginning November 1, 2006. You should soon receive complete IARD instructions directly from the IARD. FIDUCIARY ACTIVITIES: Wisconsin Statute 221.105 provides that "any organization which holds itself out to residents of this state as available to act, for compensation, as trustee or which seeks or consents to serve in any fiduciary capacity is subject to rules established by the Division of Banking." Contact the Division of Banking directly at (608) 261-7578 if you have any questions concerning your firm's fiduciary activity. DESIGNATED SUPERVISOR: Pursuant to section DFI-Sec 5.05(7), Wis. Adm. Code, every licensed investment adviser shall employ at its principal office or designated office of supervision in accordance with section DFI-Sec 5.03(1), Wis. Adm. Code, at least one person designated in writing to the Administrator to act in a supervisory capacity who is licensed as an investment adviser representative in this state and has satisfied the supervisory examination requirement in section DFI-Sec 5.01(5). The Division of Securities is to be notified within 10 days of any change in designated supervisor. Failure to do so will be cause for a delinquent filing fee of $100 pursuant to section DFI-Sec 7.01(6)(g), Wis. Adm. Code. [Please refer to section DFI-Sec 5.04(4), Wis. Adm.
