BCS/CD-905 Page 1 (Rev. 03/03) DEPARTMENT OF CONSUMER & INDUSTRY SERVICES BUREAU OF COMMERCIAL SERVICES CORPORATION DIVISION MICH-ELF - ELECTRONIC FILING SYSTEM FAX - (517) 241-9845 The Michigan Business Corporation Act (MCL 450.1131), the Limited Liability Company Act (MCL 450.4104), and the Uniform Partnership Act (MCL 449.48) provide the administrator may accept documents by fax and issued certified copies and certifications by fax. Further, the act provides that a certificate "sent by facsimile transmission, shall be considered an original for all purposes and is admissable in evidence in like manner as an original." The MICH-ELF service allows all Corporation Division documents, other than the annual reports, to be filed electronically. Transmissions to the fax gateway can be made 24 hours a day, seven days a week. l MICH-ELF is comparable to the Corporation Division's expedited service. The Bureau is committed to review MICH-ELF documents by the end of the next business day. l Customers can obtain a filer number by completing a BCS/CD-901 MICH-ELF Application or comparable document which contains the following: Name, address and phone number of MICH-ELF applicant Fax number for return of document Type of credit card (VISA, VISA Electron, and Mastercard are accepted. Debit cards are not accepted.) Credit Card number, expiration date, name of cardholder, billing street address, zip, contact person, phone and fax number Customers applying for a filer number can submit their document with the application. l Customers applying for a filer number when submitting a document should have the credit card information as the FIRST page of their MICH-ELF transaction. To keep credit card information confidential, the first page will be separated from the document. l The filer number should be added to each transaction, except for first time filers. l The document will be processed electronically and stored in electronic format. If the document is illegible or requires modification or adjustment the customer must submit a replacement document. l MICH-ELF documents must be sent using a setting of high (or fine) resolution, namely 200 DPI (dots per inch) vertical and horizontal resolution. The document should have a 1/2 inch border on the right-hand margin and bottom. l Filings more than ten pages transmit very slowly, therefore a maximum of ten pages may be submitted with each MICH-ELF transmission. The page count can be lowered by removing the instruction page and by including only one cover sheet per transmission. Documents more than ten pages may be brought in person to the Bureau at 2501 Woodlake Circle, Okemos, or mailed to P.O. Box 30054, Lansing, MI 48909-7554. l Customers may request good standing certificates and certified copies of the document being filed through MICH-ELF. The total cost of the order will be charged to your credit card.
