Before commencing or doing any business in this state (see ex ceptions in NRS 80.015), every corporation (for profit or nonprofit) organized pursuant to the laws of another stat e, territory, the District of Columbia, a dependency of the United States or a foreign country, must file in the Office of the Secretary of State: The attached Qualification to do Business in Nevada form. A certificate of corporate existence issued not more than 90 days before the date of filing in Nevada by an authorized officer of the jurisdiction of its incorporation. A file stamped copy of the document most recently file d by the corporation in its home jurisdiction verifying the total authorized stock. If the application is for a nonprofit, non-stock corporation, provide official verification. CORPORATION NAME: The corporate name will be registered in Nevada exactly as it appears on the certificate of existence issued by the domicile state or country. The name must be distinguishable from the names of corporations, limited-liability companies, limited part nerships, limited-liability limited partnerships, business trusts or limited- liability partnerships on file in the office of the Secretary of State. If the name is not available, a modified name resolution adopting a name for use in conducting business in Nevada may be s ubmitted along with the qualification form. The modified name resolution fo rm is for use only if the name of your corporation is not available for use in Nevada. A name may be reserved, if available, for 90 da ys by submitting a name reservation form with a $25.00 filing fee. REGULATORY APPROVAL: If it appears from the name and/or purpose of the entity being formed that it is to be regulated by the Financial Institutions Division, State Board of Professional Engineers and Land Surveyors, State Board of Accountancy or Real Estate Division, the application will need to be approved by the regulating agency before it is filed with the Office of the Secretary of State. RESIDENT AGENT: A resident agent which must be a natural person residing in this state or another corporation which has a registered office located in this state. The initial fee is $125.00; all nonprofit lists are $25.00. Forms will be mailed to you upon the qualification of your corporation and annually thereafter to the corporations resident agent. COPIES: You must send in the number of copies you would like certified and returned to you in addition to the original form to be filed. A filing fee of $30.00 for each certification is required. Copies received without the required fee shall be returned uncertified. NRS 78.105 requires that a corporation receive at least one certified copy to be kept in the office of the resident agent. The Secretary of State keeps the original filing. FILING FEE: Filing fee is based on the number of shares authorized. Please see the attached fee schedule.
