In order to amend a certificate of registration of a foreign limited partnership, a Certificate of Amendment to Certificate of Registration (Form No. 352) must be filed, in duplicate original, with the Office of the Secretary of State, Corporations Division, at the above address. When the Certificate of Amendment is properly completed, signed and sworn to by a general partner, and submitted with the correct filing fee, the file stamped duplicate Certificate shall be returned to the filer. 2. The filing fee for the Certificate of Amendment is $50.00, and payment should be made payable to the Rhode Island Secretary of State. 3. A Certificate of Amendment shall be promptly filed if any statement in the application for registration of a foreign limited partnership was false when made or any arrangements or other facts described have changed, making the application inaccurate in any respect. 4.
