In order to procure a Restated Certificate of Organization, a limited liability company must file, in duplicate, Restated Articles of Organization (Form No. 402) with the Office of the Secretary of State, Corporations Division, at the above address. When the Articles are properly completed, signed and submitted with the correct filing fee, a Certificate of Amendment, together with the file stamped duplicate Restated Articles of Organization affixed thereto, shall be returned to the filer. 2. Upon filing the Restated Articles of Organization, the limited liability company must be in good standing and current with the filing of its annual reports and the maintenance of its resident agent and its resident agents address in this state. 3. The Restated Articles of Organization must be accompanied by a filing fee of $50.00, and payment should be made payable to the Rhode Island Secretary of State. 4. A limited liability company may restate its articles of organization at any time. Any restatement may include additional amendments. The Restated Articles of Organization may contain only such provisions as are lawful under Title 7, Chapter 16 of the Rhode Island General Laws, as amended. 5.
