Not later than thirty (30) days following the dissolution and winding up of the limited liability company for any cause other than that set fortch in Set-ion 716-39(1), Articles of Dissolution (Form No. 404) mustf be iled, in duplicate, with the Office of the Secretary of State, Corporations Division, at the above address. When the Articles are properly completed, signed and submitted with the correct filing fee, a Certificate of Dissolution, together with the file stamped duplicate Articles of Dissolution affixed thereto, shall be returned to the filer. 2. Upon filing the Articles of Dissolution, the limited liability company must be in good standing and current with the filing of its annual reports and the maintenance of its resident agent and the address of its resident agent in this state. 3. The Articles of Dissolution must be accompanied by a filing fee of $50.00, and payment should be made payable to the Rhode Island Secretary of State. 4.
