In order to procure a Certificate of Amendment, a limited liability company must file, in duplicate, Articles of Amendment to Articles of Organization (Form No. 401) with the Office of the Secretary of State, Corporations Division, at the above address. When the Articles are properly completed, signed and submitted with the correct filing fee, a Certificate of Amendment, together with the file stamped duplicate Articles of Amendment affixed thereto, shall be returned to the filer. 2. Upon filing the Articles of Amendment, the limited liability company must be in good standing and current with the filing of its annual reports and the maintenance of its resident agent and resident agents address in this state. 3. The Articles of Amendment must be accompanied by a filing fee of $50.00, and payment should be made payable to the Rhode Island Secretary of State. 4. A limited liability company may amend its articles of organization at any time and in any respect as may be desired, so long as the articles of organization , as amended, contain only such provisions as are lawful under Title 7, Chapter 16 of the Rhode Island General Laws, as amended. The articles of organization shall be amended when there is a change in the name of the limited liability company or there is a change in the managers of the limited liability company set forth in the articles of organization, or a company that did not previously have managers designates managers, or a company that previously did have managers is to be managed by its members. 5. If the limited liability company is changing its name, a proposed new name cannot be the same as, or deceptively similar to, the name of any entity, name reservation or registration on file with the Corporations Division. Availability of the limited liability companys name should be checked prior to submission of the Articles of Amendment by calling the above number. This is only a preliminary clearance and does not ensure that the name will be acceptable upon filing the Articles of Amendment. It is suggested that you do not make any financial expenditures or execute documents utilizing the name based upon this preliminary clearance.
