ITEM 1: Name of Limited Partnership The name of a limited partnership as set out in its certificate of limited partnership must contain without abbreviation the words "limited partnership"; may not contain the name of a limited partners unless it is also the name of a general partner or the corporate name of a corporate general partners; or the business of the limited partnership had been carried on under that name before the admission of that limited partner. The name must be distinguishable upon the record. To search the availability of the legal name of the corporation in the State of Alaska go to the Corporations Section at www.commerce.alaska.gov/occ and select Search Corporations Database. ITEM 2: Registered Agent The registered agent of the corporation must be an individual who is a resident of Alaska, or a corporation (excluding LLC, LP, LLP) registered and in good standing with this office. A corporation may not act as its own registered agent. A physical address must be given for the registered office address for services of process. A post office box number may be designated as a mailing address in addition to the physical address. ITEM 3: General Partners Provide the name and business address of each general partner. ITEM 4: Additional Information Provide any additional information that the general partners wish to include. Signatures The printed name and signature of each general partner or an attorney-in-fact authorized to sign on behalf of one or more of the general partners.
