District of Columbia Government Corporations Division Articles of Merger or Membership Exchange of Domestic For-Profit Corporation Form DNP-4, Version 1, January 2012. This form will allow for one or more domestic nonprofit corporations to merge with one or more domestic or foreign nonprofit corporations or to acquire, pursuant to a plan of membership exchange, all of the memberships of one or more classes of another domestic or foreign nonprofit corporation, or all of the eligible interests of one or more classes or series of eligible interests of a domestic or foreign nonprofit corporation, in exchange for memberships, eligible interests, securities, or obligations; rights to acquire memberships, eligible interests, securities, or obligations; cash; other property or other consideration; or any combination of the foregoing. ENTITY TYPE FILING FEE Domestic Nonprofit Corporation Refer to Corporate Fee Schedule posted online; Under the provisions of the Title 29 of D.C. Code (Business Organizations Act), the domestic filing entity listed below hereby applies for a Certificate of Merger or Membership Exchange and for that purpose submits the statement below. 1. The names of the parties to the merger or membership exchange 2. If the articles of incorporation of the survivor of a merger or an exchanging nonprofit corporation are amended, or if a new corporation is created as a result of a merger, the amendments to the articles of incorporation of the survivor or exchanging corporation or the articles of incorporation of the new corporation.
