This form will allow a majority of the incorporators or directors of a corporation that has not issued shares or has not commenced business to dissolve a domestic nonprofit corporation. ENTITY TYPE Domestic Nonprofit Corporation FILING FEE Refer to Corporate Fee Schedule posted online; Under the provisions of the Title 29 of D.C. Code (Business Organizations Act), the domestic filing entity listed below hereby applies for a Certificate of Dissolution and for that purpose submits the statement below. 1. The name of the corporation. 2. The date of its incorporation. 3. The effective date. 4A. The corporation is a membership corporation and has not admitted any members. 4B. That the corporation has not commenced business. 5. No debt of the corporation remains unpaid. 6. That, except as otherwise provided in the articles of incorporation or bylaws, the net assets of the corporation remaining after winding up have been distributed to the members, if members were admitted. 7. A majority of the incorporators or directors authorized the dissolution.
