Form 500-3 - YEAR END SECURITIES SALES REPORT. This form is used by issuers of registered securities to provide the Nevada Secretary of State with a required annual filing under NRS 90.500(3). It ensures that the state has a record of the securities sold in Nevada during the issuer’s fiscal year. The form requires the issuer’s identifying information, including name, address, fiscal year-end date, and Nevada Securities Division file number. The issuer must report the aggregate sale price of securities sold in Nevada during the prior fiscal year and calculate the required filing fee, which is 0.2% of the maximum aggregate offering price of the registered securities, subject to a minimum of $700 and a maximum of $5,000. This annual fee is separate from and in addition to the initial registration fee. The form also requires details about the effective and expiration dates of the registration, the aggregate amount of securities available for sale in Nevada, and the total amount sold.
