Form N-9 - CLAIM OF EXEMPTION FROM SECURITIES REGISTRATION. This form is used by an issuer of securities to notify the Nevada Secretary of State that they are claiming an exemption from the state’s securities registration requirements. It allows the issuer to provide detailed information about the business, such as its name, address, state and date of incorporation, fiscal year-end, type of organization, and the nature of its business. The form also requires the issuer to disclose the type and class of securities being offered, the total number of shares or units, the aggregate dollar amount of the offering, the price per unit, and the number of purchasers involved, including whether they are accredited investors. Issuers must report any securities sales made in the prior 12 months and identify the exemption or registration under which those sales were conducted. If the exemption is sought under specific provisions, such as NAC 90.519, supporting documentation like a Preliminary Official Statement must be attached.
