Description
CR2E035 - APPLICATION FOR REINSTATEMENT AND REINCORPORATION OF LEGISLATIVELY OR JUDICIALLY CHARTERED NOT FOR PROFIT CORPORATION. This form is used to reinstate and reincorporate legislatively or judicially created not-for-profit corporations in Florida that were automatically dissolved by operation of law on July 2, 1992, under Section 617.1623(1), Florida Statutes. These corporations were established prior to September 1, 1959, and were never included in the records of the Florida Division of Corporations. The reinstatement process restores the corporation's legal status, allowing it to once again file annual reports, amendments, and other required corporate documents. To complete the reinstatement, the corporation must submit certified copies of its original articles and any amendments, a completed application, a Certificate of Reincorporation including designation and acceptance of a registered agent, and the applicable fees. The application must also list current officers or directors, the corporation’s purpose, principal address, and election procedures. Once reinstated, the corporation regains its legal powers and privileges as if it were originally incorporated under Chapter 617 of the Florida Statutes. www.FormsWorkflow.com
