MBCA-12C - APPLICATION FOR TRANSFER OF AUTHORITY. This form is used by a foreign (out-of-state) business corporation to transfer its authority to transact business in the State of Maine following a change in its legal structure or jurisdiction. It applies when a foreign corporation, already authorized to do business in Maine, has converted to a different entity type (e.g., a foreign nonprofit corporation or a limited liability company) or has changed its jurisdiction of incorporation.
