MBCA-12C - APPLICATION FOR TRANSFER OF AUTHORITY. This form is used by a foreign (out-of-state) business corporation to transfer its authority to transact business in the State of Maine following a change in its legal structure or jurisdiction. It applies when a foreign corporation, already authorized to do business in Maine, has converted to a different entity type (e.g., a foreign nonprofit corporation or a limited liability company) or has changed its jurisdiction of incorporation. The form requires the corporation to state its current and new jurisdictions, the type of entity it has become, and provide any additional necessary filings depending on the new entity type.
