State Form 56369 - FOREIGN REGISTRATION STATEMENT. This form is used to register a business entity that was formed outside of Indiana (a "foreign" entity) with the Indiana Secretary of State so that it may legally transact business within the state. This registration is required under Indiana law and applies to various types of entities including corporations, limited liability companies (LLCs), nonprofit corporations, master LLCs, and partnerships. The form collects important information such as the entity's legal name, jurisdiction and date of formation, business structure, and whether the entity is managed by members or managers (in the case of an LLC). It also requires the entity to designate a registered agent in Indiana to receive legal documents. If the entity's name does not comply with Indiana naming rules, an alternate name must be provided. Professional corporations must include proof of professional licensure for at least one shareholder.
