This form is used in Indiana to form, amend, or dissolve a Series under a Master Limited Liability Company (Master LLC) in accordance with Indiana Code 23-18.1. This form allows a Master LLC to establish separate Series, each with its own assets, liabilities, and management structure, while remaining under the umbrella of the Master LLC. If a Series is being formed, the filer must provide the name of the Master LLC, the Series name (which must include the Master LLC’s full legal name and the word “Series”), and indicate whether the Series will be managed by a manager or a single member.
