FORM 321 - FOREIGN REGISTRATION STATEMENT LIMITED PARTNERSHIP. This form is used to register a foreign limited partnership (LP) or limited liability limited partnership (LLLP) with the Wisconsin Department of Financial Institutions in accordance with Section 179.1003 of the Wisconsin Statutes. This filing allows a partnership formed under the laws of another state or country to legally conduct business in Wisconsin. The form requires detailed information such as the name of the foreign partnership, jurisdiction of formation, name and address of the Wisconsin registered agent and office, and the principal office address of the partnership. If the partnership’s name is already in use or not distinguishable in Wisconsin’s records, a fictitious name must be provided. The form also asks whether the partnership has transacted business in Wisconsin prior to registration; if so, additional fees may apply. At least one general partner must sign the document. A $75.00 filing fee is required, with an optional $25.00 expedited service available. Once registered, the partnership is subject to annual reporting requirements, due each year by March 31.
