Form No. MBCA-10 - ARTICLES OF MERGER OR SHARE EXCHANG. This form is used by business entities in the State of Maine to formally document and file the legal merger of two or more companies, or a share exchange, in accordance with 13-C MRSA §1106. It must be completed and submitted by the surviving or acquiring entity, whether domestic or foreign, involved in the transaction. The form records essential information, including the names, entity types, jurisdictions, and effective date of all parties involved, as well as the name and jurisdiction of the surviving entity. It also certifies that the merger or share exchange agreement is on file at the principal place of business of the surviving company and can be provided upon request to any shareholder or interest holder. If the merger results in a new corporate entity or includes amendments to the surviving entity's charter, supporting documentation must be attached. Additional sections confirm whether shareholder approval was required and obtained, whether any foreign entities participated in compliance with their own governing laws, and the appointment of Maine’s Secretary of State as agent for service of process on behalf of any foreign survivor.
